Representative Experience
- Represents public and private entities in their mergers and acquisition transactions, and in the offers and sales of securities in connection with such transactions, both in the U.S. and abroad
- Advises public companies concerning their compliance with the Securities Act of 1933, as amended, and the Securities Exchange Act of 1934, as amended, and both public and private entities in their private offers and sales of securities
- Represents both issuers and underwriters in negotiating brokerage and consulting agreements, and in state and federally chartered financial institutions with their formation and initial public offering, and continued general representation before state and federal bank regulatory agencies
- Represents borrowers and lenders in their financing transactions and related disputes
- Advises both public and private companies, with special emphasis on medical practices, in their general corporate matters, including preparation of executive employment agreements, covenants not to compete, joint ventures, consulting agreements and other contracts
- Advises public and private companies in litigation matters involving complex business transactions
