Heather represents publicly and privately owned companies of various sizes. She also represents newly formed businesses, partnerships and joint ventures. Heather also assists in the handling of mergers and acquisitions and negotiations of other complex business transactions.

Representative Experience

  • Represented seller in a $110 million strategic acquisition of a consumer electronics company in which the representation included a due diligence review of seller’s contracts
  • Represented seller in a $21 million strategic acquisition of a sporting goods manufacturer in which the representation included a due diligence review of seller’s contracts
  • Review, draft and negotiate various contracts, including asset and stock purchase agreements, employment agreements, agreements among suppliers, distributors and vendors, service contracts, license agreements, limited liability company operating agreements and shareholders agreements
  • Represented physicians in the acquisition of a pediatric medical practice
  • Represented dentists in the acquisition of a dental practice
  • Represented optometrist in an acquisition of an optometric practice
