Biography
Missy represents financial institutions and other entities in a wide variety of transactional and commercial financing related matters, including: secured and unsecured senior and subordinated debt financing transactions, asset-based lending, accounts receivable and factoring arrangements, real estate project financings, single bank and syndicated credit facilities, intercreditor arrangements, financing to private equity backed companies, acquisition financings and low income housing tax credit financing.
Missy also worked for several financial institutions, including, KeyBank National Association and PNC Bank where she built compliance programs and technology systems for fraud monitoring, privacy and data security and other internal compliance programs.

- Representation of lender in a $65 million asset-based revolving credit facility to a railcar and locomotive management company
- Representation of administrative agent and lender in a $40 million syndicated asset-based revolving credit facility for a distributor of loose diamonds
- Representation of administrative agent and lender in a $30 million syndicated revolving and term loan credit facility to fund the acquisition of a large multi-national industrial services contractor
- Representation of lender in a combined $5 million line of credit and term loan facility involving $4 million of mezzanine debt for the financing of an asset acquisition of a pet supplies company
- Representation of lenders in numerous cross-border bi-lateral credit facilities and advising on cross-border perfection matters
- Experienced representing all parties in the negotiation of various lending and commercial agreements, including, deposit account control agreements, subordination agreements, intercreditor agreements, collateral assignment agreements, factoring agreements, intercompany financing arrangements, commercial leases, license agreements and treasury management agreements

- Experienced in advising financial institutions in various State and Federal regulatory matters as well as other operational matters

- Experienced in advising financial institutions in the development, implementation and management of data privacy and information security programs

- Representation of a holder of a defaulted loan in litigation matters relating to a $20 million judgement in favor of the holder; advised on collateral and perfection matters and holders’ rights and remedies
- Representation of creditors in a variety of debt collection and insurance subrogation litigation matters
+Real Estate Development
- Representation of administrative agent and lender in a $64 million syndicated construction loan to a national development company to finance the construction of a residential community
- Representation of lender in a $7.1 million construction loan for the acquisition and construction of a marina
- Representation of lender in a $6.6 million construction and development loan for financing the acquisition and construction of a low income affordable housing facility
