Biography
Dave has extensive experience in all aspects of business transactional work, including mergers and acquisitions, joint ventures, strategic alliances, and debt and equity capital raising transactions. He also has significant experience with securities law compliance under both the 1933 and 1934 Act. As a business attorney, Dave works with clients in a multitude of industries including health care, manufacturing, mining, consumer products and services, to name a few. He often serves not just as transactional counsel for his clients but also as outside general counsel and trusted business advisor. Dave has served as the lead attorney on numerous asset, stock and merger acquisitions and divestitures, representing public and private purchasers, sellers and investors. He also has served as lead attorney on several initial and secondary public offerings and ongoing securities reporting and compliance issues.

- Represents buyers, sellers and investors in asset, stock and merger acquisitions and divestitures ranging in purchase price from several million to several billion dollars and involving public and private parties
- Serves as lead counsel to companies in many different industries, assisting the companies in choice of entity issues, corporate governance issues and structure, capital raising transactions involving angel investors, venture capitalists and other institutional investors, joint venture relationships, board fiduciary duties, owner arrangements and disputes, and general corporate and contractual matters
- Serves as lead counsel for both issuers and investors, including venture capitalists, in private equity and debt placements
- Serves as lead counsel for issuers, underwriters and selling stockholders in initial and secondary public offerings
- Serves as lead counsel for public companies assisting the companies in all aspects of their corporate life including 1934 Act reporting compliance, strategic planning, acquisition search and implementation, corporate finance and general corporate contracting matters

- Lead counsel on the acquisition out of bankruptcy of a heavy mining equipment manufacturer by an international conglomerate
- Lead counsel on the sale of multiple specialty product companies to various private equity buyers
- Lead counsel for a financial services company in connection with an investment from a private equity firm
- Lead counsel on various acquisitions and dispositions within the financial services industry
- Lead counsel on the acquisition of a large building products company from a private equity firm
- Lead counsel on the sale of various specialty pharmacy businesses to a private equity buyer

- Lead counsel on the sale of multiple businesses to strategic acquirers
