Brenna practices primarily in two areas of law, employee benefits and business law. In the area of employee benefits, she represents clients in the design, implementation and administration of retirement, welfare, fringe, and executive compensation plans. In the area of business law, she advises small and midsize closely held corporate clients and non-profit entities regarding a broad range of corporate transactional matters.

Representative Experience

  • Advice regarding and document preparation for a broad range of employee benefit matters, including compliance with the Affordable Care Act and ERISA, correction of retirement plan qualification issues, etc..
  • Advice regarding, document preparation for and negotiation of general corporate transactions, including entity formation, dissolution, mergers and acquisitions, employment and independent contractor agreements, separation agreements, stock and membership interest transfers, terms and conditions for sale of personal property, master service contracts, third-party equipment financing, private security offerings, licensing arrangements, dispute settlement, etc.
  • Non-profit creation and advice regarding preservation of exempt status.
  • Advice regarding HIPAA compliance; drafting of compliant notices, policies, and agreements; providing HIPAA training for covered entity and business associate clients; general advice regarding privacy and information security matters.
  • Advice regarding Stark, Anti-Kickback, and other health law matters relevant to corporate transactions for health care providers; negotiation of related documentation.
