As former in-house counsel, Brenna knows the importance of understanding business goals and operations in the delivery of customized and practical advice in business transactions, ranging from day-to-day contracting, corporate governance, and ongoing compliance to larger transactions such as mergers and acquisitions. Such attention to client particulars transcends to her employee benefit practice, in which she advises clients on health and welfare benefit plan design, compliance and correction, and negotiations with service providers and governmental agencies.

Prior to joining the firm, Brenna served Healthstat, Inc. in-house in a general counsel capacity.

+Employee Benefits

  • Advice regarding and document preparation for a broad range of employee benefit matters, with an emphasis on health and welfare considerations, including compliance with the Affordable Care Act and ERISA, wellness program design, onsite and near-site clinic matters, etc.

+Data Privacy & Information Security

  • Advises entities regarding privacy implications, especially with regard to medical records under HIPAA.
  • Provides guidance and assistance with drafting of compliant policies and procedures, advice on permissible uses and disclosures, breach responses, and transactional insights.

+Business Organizations & Transactions

  • Advice regarding, document preparation for and negotiation of general corporate transactions, including entity formation, dissolution, mergers and acquisitions, employment and independent contractor agreements, separation agreements, stock and membership interest transfers, terms and conditions for sale, master service contracts, licensing arrangements, etc.

+Health Care

  • Advises both those who are directly involved with the delivery of health care and the many kinds of businesses supporting such services regarding the important protections afforded to medical records under HIPAA.
  • Provides guidance and assistance with drafting of compliant policies and procedures, advice on permissible uses and disclosures, breach responses, and transactional insights.
  • Advice regarding HIPAA, Stark, and Anti-Kickback compliance and drafting or negotiation of compliant notices, policies, and agreements.

+Outside General Counsel Services

  • Serves as a dedicated external resource handling and managing all routine legal needs of clients, working seamlessly with existing in-house legal personnel and/or business partners to efficiently deliver legal solutions tailored to business needs.  Brenna’s experience in this area has been primarily in the health industry but transcends to other industries as well.
